Contract Disposition Associate

Hi, Good day! We are seeking a Contract Disposition Associate for a remote, contract assignment supporting a large commercial contract review initiative. You will review a portfolio of technology and software agreements, verify information extracted with AI tools, and build an accurate tracker that helps stakeholders make decisions about cloud migration, contract risk, and financial exposure. Location: 214 N Tryon St Charlotte, NC 2820 (Remote) Duration : 12 Months (Possible Extension) - Target start October 20, 2026 Work Authorization: U.S. Citizens and Green Card holders only; W2 employment required

Key Responsibilities

Review commercial and software agreements for assignment, change-of-control, termination, consent, and licensing provisions. Determine whether licensed applications can move from on-premises environments to public cloud platforms. Evaluate BYOL rights, virtualization restrictions, geographic limitations, third-party hosting, and vendor-specific terms. Verify AI-extracted contract details against source documents and maintain a clear audit trail. Calculate remaining commitments, termination costs, conversion expenses, minimum-spend shortfalls, true-ups, and lost discounts. Flag agreements that need legal or business review.

Required Qualifications

Bachelor’s degree. Strong experience reviewing commercial contracts and interpreting technology licensing terms. Advanced Excel skills and the ability to maintain accurate, source-backed trackers. Experience quantifying contractual and financial exposure. Sound judgment when checking AI-generated findings against original documents. Banking, procurement, technology contracting, Power Query, and AI contract-review platform experience are helpful.
