About the Role
Luvira Consulting is seeking an experienced Contract Attorney with a strong background in intellectual property (IP) law, venture capital, and corporate transactions. The role will focus on drafting and negotiating IP-related agreements, conducting IP due diligence, reviewing commercial contracts, and supporting startup investments, M&A, and other corporate transactions. We use AI extensively in our legal workflows. Candidates should be comfortable using AI tools while independently verifying all work for legal accuracy and quality.
Key Responsibilities
Draft, review, and negotiate IP licenses, assignments, confidentiality agreements, and commercial contracts. Conduct IP due diligence for M&A transactions and venture capital investments. Identify risks involving IP ownership, licensing, trade secrets, and proprietary technology. Support venture capital financings, M&A, and corporate transactions. Use AI-assisted tools for legal research, drafting, and document review.
Qualifications
JD degree and active California Bar membership in good standing. Atleast 4 years of relevant legal experience. Strong experience in IP law, licensing, and IP-related agreements. Background in corporate transactions, venture capital, M&A, or emerging companies. Experience drafting and negotiating complex legal documents. Familiarity with AI-assisted legal workflows. Strong legal judgment, attention to detail, and ability to work independently. Be authorized to work in the United States without requiring employer-sponsored work authorization or visa sponsorship. Be eligible to provide legal services through a 1099 independent contractor arrangement. Experience at a large law firm or established corporate legal practice is preferred.
