[Remote] Contract Analyst

Note: The job is a remote job and is open to candidates in USA. Tract Capital Management is hiring a Legal Contract Analyst to manage contracts from review and drafting through negotiation support, execution, and lifecycle administration. The role works with attorneys and business stakeholders to protect company interests, meet legal and regulatory requirements, and support business objectives.

Responsibilities

• Review, draft, revise, and negotiate NDAs, vendor agreements, SaaS agreements, consulting agreements, statements of work, amendments and licensing agreements
• Perform detailed contract risk assessments and identify non-standard legal, financial, operational, data privacy, security, intellectual property, and compliance terms
• Collaborate with attorneys and business stakeholders to resolve contract issues and recommend acceptable alternative language. Maintain contract lifecycle management from intake through execution, renewal, amendment, and termination
• Develop and maintain contract templates, clause libraries, playbooks, and workflow documentation
• Assist with legal review and operations workflows, signature processes, and document execution
• Track key dates, notice periods, service-level commitments, payment terms, and contractual obligations
• Analyze contract metrics and prepare reports on cycle times, workload, risk trends, and compliance requirements
• Support internal and external audits by providing contract documentation and evidence of compliance
• Ensure adherence to company policies and applicable regulations including privacy, information security, procurement, and regulatory requirements
• Provide training and guidance to business teams on contract processes and contracting best practices

Skills

• Bachelor's degree or paralegal certification
• 3-5+ years of experience in contract administration, contract management, legal operations, or a related function
• Strong understanding of commercial contracts, legal terminology, and risk management principles
• Excellent communication, stakeholder management, and analytical skills
• Experience with contract lifecycle management (CLM) tools and Microsoft Office applications
• Experience supporting an in-house legal department
• Knowledge of SaaS, technology, procurement, or regulated-industry contracts and non-disclosure agreements
• Experience with DocuSign, or similar platforms
