Transactional Liability Claims Professional Remote 6-12+Months Manage a portfolio of complex Transactional Liability claims, including Representations & Warranties (R&W) Insurance and Tax Liability claims. Analyze and investigate insurance claims related to breaches of transaction-related representations and warranties in M&A and other corporate transactions. Review and interpret insurance policies, purchase agreements, disclosure schedules, financial statements, and other transaction-related documents. Evaluate coverage issues, including breach, loss, exclusions, valuation, and damages calculations. Draft detailed coverage letters, reservation of rights, information requests, and coverage determinations. Assess liability and damages exposure using financial, accounting, operational, and legal documentation. Establish, monitor, and adjust claim reserves based on ongoing exposure assessments. Partner with external professionals such as outside counsel, forensic accountants, and valuation experts to assess complex claims. Develop and execute claim resolution strategies, including negotiation and settlement of claims. Oversee litigated matters as necessary, including managing outside counsel and litigation budgets. Maintain up-to-date knowledge of transactional liability insurance products, M&A transaction structures, and corporate law. Utilize strong analytical, investigative, negotiation, and critical-thinking skills to manage high-exposure claims independently and efficiently. Leverage prior experience in transactional liability insurance, M&A transactions, and corporate legal practice to deliver expert claims management.
