VICE PRESIDENT, TAX EQUITY Reports to: Chief Financial Officer Location: Remote, with periodic travel, as required Compensation: Based on experience POSITION SUMMARY Energywell operates a virtual power plant (VPP) supported by a retail electricity business licensed across thirteen states and the District of Columbia. We install and own residential battery storage systems in customer homes under long-term service agreements and are live today in Texas and Illinois. Each system qualifies for an investment tax credit (ITC) under Section 48E of the Internal Revenue Code. System installations commenced in 2026 and are expected to scale sharply from 2027, generating material ITC value. This role is responsible for optimizing the ITC value in its VPP business - i.e., creating the strategy for monetizing each year's credits, negotiating the structures that deliver it, and protecting the value of the credits once they are claimed. The role is new, initially an individual contributor position, and would report to the Chief Financial Officer. PRINCIPAL RESPONSIBILITIES Determine the route to monetization for each annual vintage - e.g., direct use, transfer under Section 6418, a partnership flip, an inverted lease or a sale-leaseback - and prepare the analysis behind the recommendation. Structure and negotiate the chosen transactions through to funding, including sourcing partners, negotiating and documenting partnership terms, allocations, flip timing, deficit restoration obligations, and call and put mechanics. Execute credit transfers: buyer pipeline, pricing, the diligence file, representations and indemnities, and tax insurance where appropriate. Establish and document the basis position, including the build-up of qualifying costs, the fair market value appraisal, and the effect of state and utility incentive programs on credit basis. Document beginning of construction and safe-harbored equipment by vintage, and determine how the one-megawatt exception and the integrated operations rules apply across a fleet of residential systems. Maintain foreign entity compliance under Notice 2026-15, including material assistance cost ratios by vintage, the collection of supplier certifications and the penalty exposure attaching to them, and review of supply, operations and dispatch agreements before execution. Substantiate and document the available ITC adders, including domestic content documentation and energy community analysis. Monitor any exposure to ITC recapture across the fleet within the five-year vesting period. Support financial reporting and audit for the tax equity structures, and contribute to the Company's wider financing discussions where the credit structure interacts with the debt raised against the fleet. QUALIFICATIONS At least 5 years in renewable energy tax equity or structured finance, 10 or more preferred, gained with a sponsor, a tax equity investor, a lender, a law firm or a national accounting firm's credits practice. Actual closed tax equity transactions worked on directly, with the ability to explain both the economics and the documentation in detail. A current command of Sections 48E, 6418 and 50 of the Internal Revenue Code, and of the foreign entity, material assistance, domestic content and prevailing wage rules as they stand after the 2025 legislation and the 2026 guidance. Demonstrated ability to build tax equity partnership models, including flip timing, deficit restoration sizing and hypothetical liquidation accounting. A working understanding of the debt raised against assets of this kind, sufficient to model its effect on sponsor returns and to negotiate around it. A bachelor's degree in finance, accounting, economics, law or a related discipline. A professional accounting qualification or a law degree is welcome but not required. PREFERRED QUALIFICATIONS Experience with distributed or residential assets, and with energy storage specifically. Experience on the investor side of a partnership flip. Direct involvement in warehouse facilities, back-leverage or asset-backed securitization, whether as principal, lender or advisor. Experience preparing or responding to lender and investor diligence on a portfolio of distributed assets. Familiarity with the ERCOT and PJM markets. Experience of an Internal Revenue Service examination, or of a substantial purchaser diligence process on a credit transfer.
