Note: The job is a remote job and is open to candidates in USA. SheWorks is seeking a Senior Legal Counsel to support corporate governance, SEC compliance, securities matters, digital asset operations, and investor-related legal issues. The role advises management, supports filings and transactions, provides guidance on digital asset regulations, and coordinates with external counsel.
Responsibilities
- Advise management on corporate governance, SEC regulations, and compliance
- Support SEC filings, disclosures, board matters, and investor agreements
- Review securities offerings, investment agreements, and commercial contracts
- Provide legal guidance on cryptocurrency, blockchain, token issuance, and digital asset compliance
- Coordinate with external counsel on regulatory, litigation, and compliance matters
Skills
- JD, LL.B., or equivalent law degree
- An active license to practice law
- 7+ years of experience in corporate, securities, or financial services law
- Strong knowledge of U.S. securities laws, SEC regulations, and corporate governance
- Experience advising SEC-reporting or public companies
- Familiarity with cryptocurrency, blockchain, and digital asset regulations
- Experience drafting and reviewing securities, investment, and complex commercial agreements
- A practical, business-focused attorney
- Strong securities law expertise
- Experience navigating both public company and digital asset regulatory environments
