Senior Commercial and Corporate Attorney

🌍 Remote · United States 💼 Full-time

Temple Law PLLC | Full-Time | Remote (NY Metro Area) Compensation: $155,000–$175,000 base salary + performance-based compensation About Temple Law Temple Law is a boutique business law firm providing sophisticated, practical legal counsel to growing businesses and established companies, with a particular focus on healthcare, digital health and health technology. We serve as outside general counsel and an extension of our clients' in-house legal teams, handling commercial contracts, day-to-day legal matters, corporate transactions and M&A. We're a collaborative, forward-thinking firm that values excellent legal work without unnecessary bureaucracy, over-lawyering or traditional BigLaw culture. We embrace technology, encourage initiative, and believe sophisticated legal work should be compatible with flexibility and a life outside the office. We're looking for a Senior Commercial & Corporate Attorney who shares that philosophy and wants to help us build something special. The Opportunity This is more than a contract-review position. You'll serve as a trusted legal advisor to sophisticated business clients, take ownership of meaningful matters, and work closely with a team that genuinely enjoys collaborating. We're particularly interested in someone who wants to grow with the firm over the long term - developing client relationships, mentoring colleagues, contributing to the business, and potentially assuming a leadership role as the firm evolves. We value judgment, initiative, personality and cultural fit as much as technical expertise.

What You'll Do

Independently draft, review and negotiate a high volume of commercial agreements, including SaaS and technology agreements, MSAs, vendor and customer contracts, SOWs, licensing agreements, services agreements and NDAs, often managing multiple matters with competing deadlines. Serve as outside general counsel to healthcare, digital health, health-tech and other business clients, advising on day-to-day commercial and corporate legal matters. Identify and help navigate healthcare-specific legal and regulatory issues arising in commercial transactions, working with specialized regulatory counsel when appropriate. Work directly with clients' business teams, including legal, procurement, sales, finance, operations, privacy and security. Provide practical, business-oriented legal advice, distinguishing meaningful risks from theoretical ones and recommending solutions rather than simply identifying problems. Support corporate transactions, including mergers and acquisitions, due diligence, transaction documents, corporate governance and entity matters. Independently manage client relationships, communications, expectations and matters from intake through resolution, collaborating with colleagues and outside specialists as needed. Strengthen client relationships and improve firm processes, templates, playbooks and workflows.

Required Qualifications

J.D. and active bar admission in New York, New Jersey, Connecticut or Pennsylvania. At least 8 years of relevant legal experience, including meaningful experience practicing at a law firm. Substantial experience advising healthcare, digital health or health-tech companies on commercial legal matters, including practical familiarity with HIPAA, business associate agreements, healthcare privacy and other regulatory considerations affecting commercial transactions in these industries. Significant experience independently drafting and negotiating sophisticated commercial contracts, particularly SaaS, technology, vendor, customer and services agreements. Experience with general corporate matters and supporting M&A transactions. Experience identifying and addressing privacy, data protection, cybersecurity and emerging AI-related issues in commercial agreements. Demonstrated experience serving as a primary point of contact for sophisticated business clients, managing expectations, communicating legal advice directly to business stakeholders and maintaining strong client relationships. Excellent legal drafting, negotiation and communication skills. Strong business judgment and the ability to deliver clear, practical, commercially sensible advice. Demonstrated ability to independently manage a high volume of matters and competing priorities while working effectively as part of a team. Strong organization, responsiveness, attention to detail and follow-through. Comfort learning and adopting new technology, including AI-enabled tools, legal practice management systems and clients' internal software platforms. Availability during East Coast business hours. Ability and willingness to travel to New York City for client meetings at least quarterly, with occasional additional travel as reasonably needed.

Experience advising sophisticated corporate clients and working closely with internal business stakeholders. Experience mentoring attorneys or managing legal teams. Interest in business development, client relationship management and long-term firm leadership. Experience developing or improving legal workflows, templates, playbooks and technology-enabled processes. Experience negotiating AI-specific commercial agreements. You're excited about building lasting client relationships and contributing to the growth and direction of a firm.
