[Remote] Associate Legal Counsel

Note: The job is a remote job and is open to candidates in USA. Firm Advice's client is hiring an Associate Legal Counsel for its global data center business. The role leads joint ventures and other major transactions, working with venture capital leads, outside counsel, and the in-house corporate debt team to structure and execute deals supporting the company's growth.

Responsibilities

• Lead Joint Ventures and other major transactions
• You will work with venture capital leads and manage outside counsel on complex JV deals for this growing data center
• In this role, you will partner with the in-house corporate debt team to run deals—reviewing, structuring, making judgment calls, and ensuring accuracy—in support of the company's global growth

Skills

• JD and member in good standing of at least one bar in the US
• 6+ years' experience drafting and negotiating complex JV agreements, including drafting and negotiating purchase agreements, merger agreements, and related transaction documents
• Must be interested in learning complex areas of technology and data centers
• Ability to work both independently and as a team in a fast-paced, collegial environment is required
• Experience with data centers, digital infrastructure, energy, telecom or other capital‑intensive assets a plus
• Experience supervising outside counsel and/or working with VC firms a strong plus
